It&#8217;s what comes next if the business can&#8217;t pay.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"the-trust-fund-recovery-penalty-when-it-becomes-personal\">The Trust Fund Recovery Penalty: when it becomes personal<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Here&#8217;s something a lot of business owners don&#8217;t realize until it&#8217;s too late: the IRS can come after you personally for unpaid payroll taxes, even if your business is an LLC or corporation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Trust Fund Recovery Penalty (TFRP) allows the IRS to hold any &#8220;responsible person&#8221; personally liable for 100% of the unpaid trust fund taxes. According to IRS guidance updated in February 2026, &#8220;responsible persons&#8221; include owners, officers, anyone with check-signing authority, and in some cases even bookkeepers or managers who controlled financial decisions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The key word is &#8220;willful.&#8221; The IRS defines willfulness broadly  &#8211;  if you knew the taxes weren&#8217;t being paid and you paid other creditors (suppliers, landlords, employees) instead of the IRS, that counts.
